Business Partner Terms & Conditions

1. The Business Partner Program

The ToDoInTC Business Partner Program allows eligible businesses in the Traverse City area to promote their events, products, and services to ToDoInTC users through paid promotional placements and a dedicated business profile within the ToDoInTC mobile application.

Enrollment is by invitation or application and is subject to our approval. We reserve the right to accept or decline any application at our sole discretion.

2. Free Listings vs. Partner Program

ToDoInTC offers two ways for a business to appear in the Service:

• Free Listing. A no-cost, self-service profile that you can create and maintain through the Business dashboard. Free Listings include only the basic public profile (name, category, location, hours, contact info, description, and images). Free Listings do not include promotional placements, featured visibility, analytics, Cherry credits, or any other paid feature.
• Partner Program. A paid, application-based subscription that unlocks promotional placements, analytics, featured visibility, monthly Cherry allotments, and other partner features as described in the remainder of these BP Terms.

A Free Listing is not an application for, or a guarantee of acceptance into, the Partner Program. You may apply to upgrade a Free Listing to the Partner Program at any time through the dashboard, subject to availability and our approval as described in Section 3 (Eligibility).

Sections of these BP Terms that refer to subscriptions, billing, Cherry credits, promotional placements, analytics, or refunds (including Sections 4, 5, 6, 8, 9, 13, and 15) apply only to participants in the paid Partner Program and do not apply to Free Listings except where expressly stated. Sections governing eligibility, content standards, intellectual property, disclaimers, limitation of liability, termination, modifications, governing law, and contact (Sections 3, 7, 10, 11, 12, 14, 16, 17, and 18) apply to both Free Listings and Partner Program participants.

We may, at our sole discretion and without prior notice, edit, suspend, unpublish, or remove any Free Listing for inaccurate or outdated information, duplicate listings, violations of our content standards, inactivity, or for any other reason. We may also modify, limit, or discontinue the Free Listing tier at any time.

3. Eligibility

To participate you must: (a) be an authorized representative of a legally operating business; (b) provide accurate business information including legal name, address, and contact details; and (c) maintain a valid payment method on file. We may request additional verification at any time.

By providing a business contact email address (whether through a Free Listing, the Partner Program application, or your dashboard profile), you consent to receive operational and service-related emails at that address, including account notices, billing and renewal reminders, promotion status updates, policy changes, security alerts, and responses to support requests. These messages are considered part of your use of the Service and you may not be able to opt out of them while your account or listing is active. Marketing emails, where offered, will include an unsubscribe option.

4. Subscription and Renewal

Access to the Business Partner Program requires a paid subscription. Subscriptions are billed annually in advance unless otherwise specified. Your subscription will automatically renew at the end of each billing period at the then-current rate unless you cancel before the renewal date.

By subscribing, you authorize ToDoInTC (via Stripe) to charge your payment method on file for each renewal period. We will attempt to notify you of upcoming renewals, but it is your responsibility to manage your subscription and ensure your payment information is current.

We reserve the right to change subscription pricing at any time. Price changes will take effect at the start of your next billing cycle. If you do not agree with a price change, you may cancel your subscription before the new rate takes effect.

Each subscription includes a monthly allotment of Cherry credits (see Section 5). Monthly Cherry allotments do not roll over between billing periods.

5. Cherry Credits

Promotional placements are purchased using "Cherries," a virtual credit within the ToDoInTC platform. Cherries may be purchased through our checkout system powered by Stripe.

Cherry prices are listed at the time of purchase and are subject to change. All Cherry purchases are final and non-refundable except as required by applicable law or as described in Section 13. Unused Cherries remain in your account indefinitely but hold no cash value and cannot be transferred, exchanged, or redeemed for currency.

6. Promotional Placements

You may create promotions through the Business Partner dashboard. Promotions are offered in tiers (e.g., Tier 1, Tier 2, Tier 3) that differ in visibility, placement priority, and Cherry cost. The specific features of each tier are described in the dashboard at the time of creation and may be updated from time to time.

Submitting a promotion does not guarantee publication. We reserve the right to review, approve, modify, or reject any promotional content that violates these BP Terms, our content guidelines, or applicable law.

Once a promotion is published and its scheduled run period has begun, the associated Cherry cost is considered spent and will not be refunded even if you choose to end the promotion early.

7. Content Standards

All content you submit — including text, images, links, and business profile information — must be truthful, not misleading, and comply with all applicable laws and regulations. You must not submit content that:

• Is false, deceptive, or misleading
• Infringes any third-party intellectual property rights
• Contains hateful, violent, or discriminatory material
• Promotes illegal activities or substances
• Contains malware, spam, or phishing links
• Violates the privacy or rights of any person

We may remove or disable any content that violates these standards without prior notice.

8. Payment and Billing

All payments are processed securely through Stripe. By making a purchase you agree to Stripe's Terms of Service. You are responsible for any applicable taxes. Prices are displayed in U.S. dollars unless otherwise noted.

9. Analytics and Data

We provide aggregated analytics (such as impressions and clicks) for your promotions through the Business Partner dashboard. These metrics are provided for informational purposes and may be approximate. We do not guarantee the accuracy of analytics data and shall not be liable for business decisions made in reliance on such data.

We collect and process data related to your business account and promotional activity in accordance with our Privacy Policy.

10. Intellectual Property

You retain ownership of your content. By submitting content to the platform, you grant ToDoInTC a non-exclusive, worldwide, royalty-free license to display, distribute, and promote your content within the ToDoInTC application and related marketing materials for the duration of your participation in the Program.

You may not use the ToDoInTC name, logo, or branding without our prior written consent. All ToDoInTC trademarks, service marks, and branding remain our exclusive property.

11. Disclaimers

THE BUSINESS PARTNER PROGRAM IS PROVIDED "AS IS." WE DO NOT GUARANTEE ANY LEVEL OF IMPRESSIONS, CLICKS, ENGAGEMENT, OR BUSINESS RESULTS FROM YOUR PROMOTIONS. PROMOTIONAL PERFORMANCE MAY VARY BASED ON FACTORS OUTSIDE OUR CONTROL INCLUDING USER BEHAVIOR, SEASONALITY, AND MARKET CONDITIONS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TODOINTC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA ARISING OUT OF OR RELATED TO YOUR PARTICIPATION IN THE BUSINESS PARTNER PROGRAM. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR CHERRY CREDITS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Refund Policy

Cherry purchases are generally non-refundable. We may, at our sole discretion, issue refunds or Cherry credits in cases of: (a) a verified platform error that prevented your promotion from running as scheduled; or (b) duplicate charges. Refund requests must be submitted through the Help & Support section of the Business Partner dashboard within 30 days of the transaction.

14. Termination

Either party may terminate participation in the Business Partner Program at any time. We may suspend or terminate your access immediately if you violate these BP Terms. Upon termination: (a) any running promotions will be stopped; (b) unused Cherry credits will be forfeited unless applicable law requires otherwise; and (c) your business profile will be removed from the application.

15. Cancellation

You may cancel your subscription at any time through. Cancellation will take effect at the end of the current billing period; you will retain access to the Program until that date. No partial or prorated refunds will be issued for the remainder of a billing period after cancellation.

If your subscription is on a monthly billing cycle, you must cancel at least 24 hours before the next renewal date to avoid being charged for the following month. Early cancellation fees do not apply.

Upon cancellation: (a) any unused monthly Cherry allotment for the current period will remain available until the period ends, then be forfeited; (b) separately purchased Cherries will remain in your account and may be used until your access expires; and (c) any running promotions will continue through their scheduled end dates.

16. Modifications to These Terms

We reserve the right to modify, amend, or replace these BP Terms at any time and without prior notice. Changes become effective immediately upon posting to this page. It is your responsibility to review these BP Terms periodically. Your continued use of the Business Partner Program or any Program features after changes are posted constitutes your acceptance of the revised BP Terms.

While we are not obligated to do so, we may, at our discretion, notify you of significant changes through the Business Partner dashboard, email, or other communication channels.

17. Governing Law

These BP Terms are governed by the laws of the State of Michigan, USA, without regard to its conflict of laws principles. Any disputes shall be resolved in the state or federal courts located in Michigan.
